1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the True Vantage Advisors website and Services. By using our Services, you agree to these Terms. If you do not agree, please do not use the Services.

2. Our Services

True Vantage Advisors provides AI capability advisory and education, including the AI Capability Framework, fractional Chief AI Officer (fCAIO) engagements, live instructor-led training, certification, the AI Readiness Assessment, and related consulting. Some Services are free; others are paid and may be governed by a separate engagement agreement, statement of work, or order form, which will control to the extent it conflicts with these Terms.

3. Eligibility

You must be at least 16 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

4. Acceptable Use

You agree not to misuse the Services, including by attempting to disrupt or gain unauthorized access to our systems, infringing the rights of others, submitting unlawful or misleading content, or using automated means to scrape or extract our materials to build a competing product.

5. Assessments and Educational Content

Our assessments, reports, recommendations, courses, and certifications are provided for informational and educational purposes. They do not constitute legal, financial, or other professional advice, and results are not guarantees of any particular business outcome.

6. Intellectual Property

The Services — including our content, frameworks, assessments, course materials, and branding — are owned by True Vantage Advisors or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use them for their intended purpose. You may not copy, resell, or redistribute our materials without our permission.

7. Your Submissions

You retain ownership of the information and materials you submit. You grant us a license to use that information as needed to provide the Services and as described in our Privacy Policy. For paid engagements, ownership of deliverables is governed by your engagement agreement.

8. Payments

Fees for paid Services are described at the point of purchase or in your engagement agreement. Unless stated otherwise, fees are non-refundable, and you are responsible for any applicable taxes.

9. Third-Party Services

The Services may link to or rely on third-party services, such as scheduling or payment providers. We are not responsible for third-party services, and your use of them is subject to their own terms.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law.

11. Limitation of Liability

To the fullest extent permitted by law, True Vantage Advisors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from your use of the Services.

12. Indemnification

You agree to indemnify and hold True Vantage Advisors harmless from claims arising out of your misuse of the Services or your violation of these Terms.

13. Changes to the Services and Terms

We may modify or discontinue the Services and update these Terms from time to time. Updated Terms will be posted here with a revised "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of [State], without regard to its conflict-of-laws principles.
